VerifyShield Technologies, LLC
These Terms of Service ("Terms") govern your access to and use of verifyshield.aero (the "Site") and the services offered by VerifyShield Technologies, LLC ("VerifyShield," "we," "us," or "our"). Please read them carefully. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
The Site is intended for businesses and professionals involved in aircraft transactions. By using it, you represent that you are at least 18 years old and able to enter into a binding agreement.
VerifyShield provides independent verification of document integrity: at the moment of execution, we generate a mathematical signature (a "Digital Fingerprint") of a document and anchor it to an independent, distributed integrity record, producing a permanent, independently verifiable proof that the document existed in that exact form at that time.
VerifyShield is not, and does not provide:
We verify that a document has not been altered since it was anchored. We do not verify the truth, accuracy, legality, or legal effect of a document's contents. Nothing on the Site creates an attorney–client, fiduciary, escrow, or insurance relationship. You should obtain independent legal, financial, and professional advice for your transaction.
Where you engage VerifyShield for the Services, the specific scope, fees, and deliverables are governed by the applicable order, engagement, or settlement-statement line item, together with these Terms. In the event of a conflict, the specific engagement terms control for that engagement.
Document handling. When a document is submitted for anchoring, we process it solely to generate its Digital Fingerprint and do not retain the document's contents. We retain and anchor only the fingerprint. See our Privacy Policy.
Certificates and verification. A Certificate of Integrity and any public verification result confirm only that a given document matches a previously anchored Digital Fingerprint (or does not). They are not representations about the document's contents or legal status.
You agree not to: use the Site or Services for any unlawful purpose; attempt to gain unauthorized access to the Site, our systems, or another party's data; interfere with or disrupt the Site; submit content you do not have the right to submit; misrepresent your identity or authority; reverse engineer or attempt to derive document contents from a Digital Fingerprint; or use the Site to develop a competing service.
The Site and its content — text, design, graphics, logos, and the VerifyShield name and marks — are owned by VerifyShield or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for its intended purpose. You may not copy, reproduce, distribute, or create derivative works without our written permission. Certificates of Integrity issued to you may be used for their intended evidentiary and recordkeeping purposes.
The Services rely on independent, third-party distributed-ledger infrastructure to anchor Digital Fingerprints. That infrastructure operates independently of VerifyShield, and its availability and operation are not within our control. The Site may also link to third-party resources; we are not responsible for third-party content, services, or practices.
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any verification result establishes anything beyond whether a document matches a previously anchored Digital Fingerprint.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIFYSHIELD AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE APPLICABLE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless VerifyShield and its members, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or Services, your violation of these Terms, or your violation of any rights of a third party.
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in Wyoming will have jurisdiction over any dispute arising out of or relating to these Terms or the Site, except where applicable law provides otherwise.
We may modify these Terms from time to time. When we do, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. These Terms, together with any applicable engagement terms and our Privacy Policy, constitute the entire agreement between you and VerifyShield regarding the Site.
