Philko Aviation, Inc. v. Shacket · 462 U.S. 406 (1983)

Recording priority decides title.

In Philko Aviation, Inc. v. Shacket, the Supreme Court held that under the Federal Aviation Act, FAA recording priority — not payment, not possession, not execution sequence — determines legal title. An instrument filed and indexed first can subordinate a party who paid in full, took delivery, and holds a valid bill of sale. The exposure lives in the gap between execution and FAA indexing.

The registry does not verify what it records.

The U.S. Government Accountability Office found that the FAA relies on applicant self-certification and does not verify key registration information, leaving the registry open to fraud and abuse (GAO-20-164, March 2020). As of the GAO's 2024 follow-up, the FAA had implemented three of the fifteen 2020 recommendations (GAO-24-107495). The registry is a filing system, not an authentication engine.

VerifyShield does not opine on title or legal effect. It supplies the one thing the registry and the custodians do not: independent, contemporaneous proof of the documents' integrity at the Zero-Hour of closing.

Institutional Failure

Custodial Collapse

When a major U.S. aircraft title and escrow provider is indicted or becomes insolvent, access to ownership records and "source of truth" documentation can disappear overnight. Counterparties who treated the custodian as the permanent record discover that the record was only as durable as the institution holding it.

Undetected Document Forgery

The FAA registry operates on self-certification. Forged Bills of Sale have been accepted and remained undetected for more than a year, even after millions of dollars in financing have been issued against the asset. The forgery is not discovered by the registry — it is discovered when the underlying transaction unwinds.

What Anchoring Creates

An independent record

Each closing document receives a Digital Fingerprint anchored at execution to a distributed consensus network. The record is created by no party to the transaction and controlled by no party to the transaction — including VerifyShield.

Tamper-evidence by mathematics

Any alteration to a document — a single character — produces a different Digital Fingerprint that no longer matches the Zero-Hour Anchor. Integrity is checkable at any time without trusting any custodian, platform, or party.

A record counsel can cite

The Certificate of Integrity documents the anchored fingerprint, the anchor date and time, and the verification method. What it establishes is precise: this document, in this exact form, existed at this time. What weight that fact carries in any matter is a determination for counsel and the tribunal. VerifyShield makes no admissibility claims and renders no legal conclusions.

The Anchor is added to the closing checklist; the executed file is anchored at the Zero-Hour. The Certificate of Integrity joins the transaction file.

Through the holding period

For clients holding aircraft across document events, VerifyShield Continuity maintains the Continuous Integrity Record and delivers written registry artifacts — Registry Status Reports, Event Notices, and the Annual Continuity Report — for the file. Sentry, the registry-visibility module, reports public-record FAA activity on a scheduled periodic basis; interpretation remains with counsel.

When corrections are required

If the FAA rejects a filing, VerifyShield performs a Chain Extension: the corrected document is anchored as a Supplemental Anchor linked to the original, preserving a complete Forensic Chain of Custody — the initial submission and the cure, both on the record.
